    The EU AI Act and High-Risk Teams: What Legal, M&A, and Finance Professionals Must Know

    The EU AI Act classifies AI tools used in legal, financial, and M&A contexts as high-risk. Here is what that means for your meeting AI - and why most tools on the market are already non-compliant.

    The EU Artificial Intelligence Act - the world's first comprehensive legal framework for AI - entered into force in August 2024, with most substantive provisions becoming applicable between 2025 and 2026. While most commentary focuses on generative AI and foundation models, its implications for everyday professional tools are equally significant and far less discussed.

    For teams working in legal, mergers & acquisitions, finance, and compliance, the AI Act introduces a new dimension of regulatory obligation. AI tools that assist with - or simply observe - high-stakes professional processes are subject to strict requirements around transparency, human oversight, and data governance. This includes AI meeting recorders and transcription tools.

    What the AI Act Actually Says About High-Risk AI

    The AI Act divides AI systems into four risk tiers: unacceptable risk (banned), high-risk (heavily regulated), limited risk (transparency obligations), and minimal risk (largely unregulated). The classification that matters most to professional teams is high-risk.

    Annex III of the AI Act lists the categories of high-risk AI systems. Several are directly relevant to the professions discussed here:

    • AI in administration of justice: AI systems used to assist judicial authorities in researching facts and interpreting the law, or in applying the law to concrete facts.
    • AI in access to essential private services: AI used in evaluating creditworthiness, pricing insurance, or assessing financial risk - all common in M&A due diligence and structured finance.
    • AI in employment and workers management: AI used to make or influence decisions about hiring, promotion, or contract management - relevant to HR and people operations teams.

    Critically, the Act applies not only to the AI making a decision, but to AI that assists in the process. An AI meeting recorder that transcribes and summarises a legal strategy session, an M&A negotiation, or a credit committee discussion is a system that assists high-risk professional processes. This places significant obligations on both the provider and the deployer.

    Obligations for High-Risk AI Deployers

    If your organisation deploys a high-risk AI system, the AI Act requires:

    • Human oversight: Effective human review of AI outputs. Blindly accepting AI-generated meeting summaries in high-stakes contexts is legally problematic.
    • Data governance: Training data and operational data must meet quality standards. AI tools trained on unlabelled, unaudited data from previous meetings fail this test.
    • Transparency and documentation: You must be able to explain what the AI did, on what data, and with what result. Cloud tools with opaque processing pipelines make this impossible.
    • Accuracy, robustness, and cybersecurity: The system must perform reliably. Transcription tools with poor accuracy in technical, legal, or financial jargon are non-compliant.
    • Logging and auditability: Events must be logged to the extent necessary to enable post-hoc monitoring. Ephemeral cloud pipelines that don't preserve logs are problematic.

    Why Most AI Meeting Tools Fail the AI Act Test

    The AI meeting tools that dominated the market in 2023–2024 - Otter.ai, Fireflies.ai, Grain, and similar - were built for one thing: frictionless consumer adoption. They were not designed with EU regulatory compliance in mind, and their architecture reflects this.

    No Meaningful Audit Trail

    These tools process audio in opaque cloud pipelines. There is no way for a deployer to audit what happened to their meeting data, which AI models processed it, or whether any outputs were influenced by cross-customer data contamination. The AI Act's logging requirements are simply unmet.

    No Control Over AI Training Data

    Many mainstream tools use customer data to train or fine-tune their models. If your M&A negotiation transcript feeds into a model that is later accessed by a competitor, the data governance requirements of the AI Act are violated - and so, likely, are your NDAs.

    No Human Oversight Architecture

    These tools present AI outputs as definitive: summaries, action items, and decisions are displayed as facts. There is no mechanism that forces human review before outputs are acted upon. For high-risk processes, this design is non-compliant.

    No EU Data Residency

    Most tools process data on US infrastructure. This creates simultaneous exposure under the AI Act (data governance), GDPR (transfer restrictions), and the US CLOUD Act (government access). Three separate legal frameworks, all breached by a single tool choice.

    Lawyers are bound by professional secrecy - in Belgium, this is essentially absolute. An AI tool that processes a strategy session, a deposition preparation, or a settlement negotiation on US cloud infrastructure exposes the firm to professional discipline, malpractice claims, and potential privilege waiver. The AI Act adds a further layer: the tool's provider must be able to demonstrate compliance with high-risk AI obligations, which no mainstream tool can currently do.

    Mergers and acquisitions work involves some of the most sensitive information in business: unreleased financial results, strategic plans, pricing assumptions, regulatory filings, and board deliberations. This information is subject to market abuse regulations, NDA obligations, and insider trading rules. An AI tool that processes these discussions on infrastructure subject to US government access requests - as all US cloud services are - creates legal exposure that no deal team should accept.

    Finance and Credit Teams

    Credit committees, investment decisions, and structured finance discussions involve personal data (creditworthiness assessments), commercially sensitive data (pricing models, risk parameters), and potentially market-sensitive data. AI Act obligations for AI in financial services are among the strictest in the regulation. Cloud tools without EU data residency, audit trails, and human oversight mechanisms are non-starters.
